Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Orchestra platform, website, and services (collectively, the “Service”) provided by Orchestra Research Institute (“Orchestra,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or legal guardian’s permission to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of the Service

Orchestra is an AI-powered research platform that enables users to conduct scientific research through AI agents, literature review, experiment tracking, and collaborative tools. The Service includes, but is not limited to:

  • AI research agents that can execute code, search literature, and perform analysis
  • Research canvas for organizing hypotheses, experiments, and findings
  • Cloud compute resources for running experiments (including GPU access)
  • Collaboration features for sharing projects with other users
  • Document generation and paper writing assistance

4. Your Content

4.1 Ownership

You retain all rights to the content you create, upload, or generate through the Service, including research projects, experiments, data, papers, and other materials (“Your Content”). Orchestra does not claim ownership of Your Content.

4.2 License to Orchestra

By using the Service, you grant Orchestra a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely as necessary to provide and operate the Service. This includes making Your Content available to AI model providers for the purpose of generating responses to your queries.

4.3 Service Improvement

We may use anonymized, aggregated usage data (such as feature usage patterns and system performance metrics) to improve the Service. We will not use Your Content (including research data, experiments, or generated papers) to train AI models or for marketing purposes without your explicit consent. If we wish to use Your Content for these purposes in the future, we will notify you and provide a clear opt-out mechanism before doing so.

4.4 Shared and Public Content

If you choose to share a project publicly or with collaborators, you acknowledge that others may view and interact with that content according to the sharing settings you configure.

5. Acceptable Use

You agree not to use the Service to:

  • Develop, research, or produce biological, chemical, nuclear, or radiological weapons, or any other weapons of mass destruction
  • Conduct research intended to cause harm to individuals or groups
  • Generate content that is illegal, fraudulent, defamatory, or infringes on intellectual property rights
  • Attempt to reverse-engineer, decompile, or extract source code from the Service or its AI models
  • Circumvent usage limits, rate limits, or access controls
  • Use the Service to spam, phish, or distribute malware
  • Interfere with or disrupt the integrity or performance of the Service
  • Impersonate another person or entity
  • Use the Service in any manner that violates applicable laws or regulations

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating your account and reporting illegal activities to law enforcement.

6. AI-Generated Content

The Service uses artificial intelligence to assist with research, analysis, and content generation. You acknowledge that:

  • AI-generated outputs may contain errors, inaccuracies, or hallucinations and should be independently verified
  • You are solely responsible for reviewing, validating, and using any AI-generated content, including research findings, code, and written materials
  • AI-generated content does not constitute professional, scientific, medical, legal, or financial advice
  • Orchestra does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated outputs

7. Credits, Subscriptions, and Payments

7.1 Plans and Credits

The Service offers free and paid subscription plans, as well as one-time credit purchases. Credit allocations, pricing, and plan features are described on our pricing page and may be updated from time to time.

7.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

7.3 Refunds

Subscription fees are generally non-refundable, except where required by law. If you are unsatisfied with the Service, you may cancel your subscription to prevent future charges. Unused credits do not carry over between billing periods unless otherwise stated. One-time credit purchases are non-refundable once credits have been added to your account.

7.4 Price Changes

We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing period following at least 30 days’ notice.

8. Account Termination and Data

8.1 By You

You may delete your account at any time. Upon deletion, your account will be deactivated and your data will be retained on our servers for a reasonable period to allow recovery, after which it will be permanently deleted.

8.2 By Orchestra

We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or if we are required to do so by law. Where reasonably possible, we will provide advance notice and an opportunity to export your data before termination.

8.3 Data Retention

Upon account termination, Your Content will remain stored on Orchestra’s servers. You may request data export or deletion by contacting us at support@orchestra-research.com.

9. Intellectual Property

The Service, including its design, software, logos, and documentation (excluding Your Content), is owned by Orchestra and protected by intellectual property laws. These Terms do not grant you any rights to use Orchestra’s trademarks, logos, or branding without our prior written consent.

10. Third-Party Services

The Service integrates with third-party services including AI model providers (such as Anthropic, OpenAI, and others), cloud infrastructure providers, payment processors, and search APIs. Your use of the Service may be subject to the terms and policies of these third-party providers. Orchestra is not responsible for the practices or content of third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCHESTRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ORCHESTRA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Orchestra and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and, where appropriate, by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

16. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orchestra regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. Orchestra may assign its rights without restriction.
